Emcure to acquire remaining 12.05% stake in Gennova

The transaction will make Gennova a wholly owned subsidiary of Emcure as the biopharma business shifts its focus towards biologics, biosimilars and related therapeutic platforms.

Emcure Pharmaceuticals has agreed to acquire the remaining 12.05% minority shareholding in Gennova Biopharmaceuticals, a transaction that will make the biotechnology company its wholly owned subsidiary.

Emcure currently owns 87.95% of Gennova. According to a company statement issued on 13 July 2026, it will acquire the balance stake held by Dr Sanjay Singh and other shareholders.

The company did not disclose the transaction value, expected completion date or detailed terms in the press release and referred investors to its stock-exchange disclosure.

Emcure said the ownership consolidation would support a sharper focus at Gennova on biologics, biosimilars and related therapeutic platforms. Gennova’s continuing portfolio includes tenecteplase, erythropoietin, granulocyte colony-stimulating factor products and other biologic therapies manufactured using mammalian and microbial production platforms.

The development follows Gennova’s agreement on 10 July 2026 to transfer its mRNA business to Immunoscript Life Science Private Limited as a going concern on a slump-sale basis. Emcure’s exchange filing for that transaction said the transfer was intended to support a realignment of Gennova’s business, although the company has not explicitly stated whether the divestment and ownership consolidation form part of a single restructuring programme.

Emcure said Gennova would operate under the leadership of Samit Mehta and align its research, development and pipeline priorities with the wider group. Samit Mehta is a Whole-Time Director of Emcure and is already identified by the company as chief executive officer and director of Gennova.

Satish Mehta, Managing Director and Chief Executive Officer of Emcure Pharmaceuticals, said the acquisition would simplify Gennova’s ownership and strengthen its focus on biologics and biosimilars. He also acknowledged Dr Sanjay Singh’s contribution to the company’s scientific platforms and product development over nearly two decades.

Samit Mehta said Gennova would continue to anchor Emcure’s biologics and biosimilars capabilities, with an emphasis on execution, quality and selected therapeutic areas.

Emcure said the acquisition was not expected to materially affect its consolidated financial performance, capital-allocation framework, debt-reduction plans, capital expenditure or research and development investments.
